Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services provided by MoeDove LLC ("Company," "we," "us," or "our"). By accessing our services or applying for internet resources, you agree to be bound by these Terms.

1. ACCEPTANCE OF TERMS

By creating an account, submitting an application for internet resources (IP addresses, ASNs), or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Acceptable Use Policy. If you do not agree to these Terms, you must not use our services.

2. ELIGIBILITY AND REPRESENTATIONS

By applying for services, you represent and warrant that:

  • Accuracy of Information: All information provided during the registration and KYC (Know Your Customer) process is accurate, current, and complete. You agree to promptly update any information that changes.
  • Legal Authority: You have the legal authority to bind the entity or individual applying for the resources and to enter into this agreement.
  • Age Requirement: You are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding contracts.
  • Sanctions Compliance: You are not a citizen or resident of, and your business is not incorporated in, any country or region subject to comprehensive U.S. or international economic sanctions.
  • Legitimate Purpose: You have a legitimate technical and operational need for the internet resources you are requesting, as defined by applicable RIR policies.

3. DUE DILIGENCE AND KYC

As a condition of service, you must complete our due diligence process via our third-party partner, Persona:

Truthfulness and Accuracy

Any misrepresentation, fraudulent documentation, or omission of material facts during the KYC process will result in the immediate rejection of your application or termination of existing services without refund. We reserve the right to report fraudulent activity to relevant authorities and RIRs.

Ongoing Verification

We reserve the right to re-verify your identity or business status at any time to maintain compliance with registry standards, anti-money laundering (AML) regulations, and sanctions screening requirements. Failure to cooperate with re-verification requests may result in service suspension.

Data Processing

By completing the KYC process, you consent to the collection, processing, and storage of your personal information as described in our Privacy Policy. Your data will be shared with Persona and relevant RIRs as necessary for compliance purposes.

4. COMPLIANCE WITH RIR POLICIES

Our services involve the allocation or management of resources governed by Regional Internet Registries (RIRs), including but not limited to RIPE NCC and ARIN.

Strict Adherence to RIR Policies

You agree to comply with all applicable RIR policies, including those regarding resource utilization, justification requirements, documentation, and the maintenance of accurate WHOIS records. RIR policies are incorporated by reference into these Terms.

Policy Violations

If your actions lead to a violation of RIR policies (e.g., spamming, IP hijacking, unauthorized sub-allocations, or failure to maintain accurate records), we reserve the right to revoke resources and terminate services immediately to protect our standing with the registries. You will be held liable for any penalties or sanctions imposed on us as a result of your violations.

Audit Cooperation

You agree to provide any necessary documentation required by an RIR during a formal audit of the resources assigned to you. Failure to cooperate with audits may result in resource revocation by the RIR and termination of services.

WHOIS Accuracy

You are responsible for ensuring that all contact information published in RIR WHOIS databases is accurate and up-to-date. You must respond promptly to any communications from RIRs regarding your assigned resources.

5. PROHIBITED JURISDICTIONS (SANCTIONS COMPLIANCE)

We do not provide services to individuals, entities, or countries sanctioned by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the European Union, or other relevant international bodies.

Prohibited Areas

This includes, but is not limited to: North Korea (DPRK), Iran, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions of Ukraine. We also prohibit service to any individual or entity on the OFAC Specially Designated Nationals (SDN) list or equivalent sanctions lists.

If we determine you are accessing our services from a sanctioned location, are a Specially Designated National (SDN), or are otherwise in violation of sanctions laws, your service will be terminated immediately without refund, and we may be required to report the violation to relevant authorities.

6. ACCEPTABLE USE POLICY (AUP)

You may not use the assigned internet resources for illegal activities or activities that violate our Acceptable Use Policy, including but not limited to:

  • Spam and Unsolicited Communications: Sending unsolicited bulk email (SPAM), unsolicited commercial email (UCE), or any form of harassment.
  • Malicious Activities: Hosting or distributing malware, viruses, ransomware, phishing sites, or engaging in any form of cybercrime.
  • Copyright Infringement: Hosting or distributing copyrighted material without proper authorization or licensing.
  • Network Attacks: Conducting or facilitating Denial of Service (DoS/DDoS) attacks, port scanning, network interference, or any activity that degrades network performance.
  • Illegal Content: Hosting content that is illegal under U.S. law or the laws of your jurisdiction, including child exploitation material, terrorist content, or content promoting violence.
  • Resource Abuse: Using resources in a manner inconsistent with your stated justification to the RIR, or engaging in speculative resource hoarding.
  • Proxy/VPN Abuse: Operating open proxies or VPN services that facilitate illegal activities or sanctions evasion.

Abuse Reporting

We take abuse seriously. If you become aware of any violations of this AUP, please report them immediately to our abuse team. We will investigate all reports and take appropriate action, which may include service termination and cooperation with law enforcement.

7. SERVICE FEES AND PAYMENT

Our services are provided on a cost-recovery basis as part of our non-profit mission:

  • Transparent Pricing: All fees are disclosed upfront and reflect our actual costs for RIR membership, administrative overhead, and compliance operations.
  • Payment Terms: Payment is due in advance unless otherwise agreed in writing. We accept payment via bank transfer, cryptocurrency, or other methods as specified.
  • Late Payment: Failure to pay fees on time may result in service suspension or termination. We reserve the right to charge late fees for overdue payments.
  • No Refunds for Breach: In the event of termination due to breach of these Terms, compliance violations, or misrepresentation, no refunds shall be issued.
  • RIR Fee Changes: If RIRs increase their fees, we reserve the right to pass those increases on to you with reasonable notice.

8. INTELLECTUAL PROPERTY RIGHTS

All content, trademarks, logos, and intellectual property displayed on our website or in our services remain the property of MoeDove LLC or their respective owners. You may not use our trademarks or branding without prior written permission. Internet resources (IP addresses, ASNs) allocated to you remain the property of the relevant RIR and are licensed to you for use in accordance with RIR policies.

9. TERMINATION OF SERVICE

We reserve the right to suspend or terminate your access to our services, with or without notice, if:

  • You provide false or misleading information during the application, KYC process, or resource request.
  • You violate any RIR policy, our Acceptable Use Policy, or these Terms of Service.
  • You fall under international sanctions or are identified as a Specially Designated National (SDN).
  • You fail to pay the required fees or cooperate with verification requests.
  • Your use of resources poses a risk to the security, integrity, or reputation of our organization or the global internet routing system.
  • We are required to terminate services by an RIR, law enforcement, or regulatory authority.

Upon termination, you must immediately cease using all assigned resources. We will coordinate with the relevant RIR to revoke or reassign resources as necessary. In the event of termination due to breach of compliance or misrepresentation, no refunds shall be issued.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, MoeDove LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of profits, data, business opportunities, or goodwill) arising out of or related to the use or inability to use the internet resources, including any actions taken by RIRs (RIPE NCC/ARIN) that affect your assigned resources, service interruptions, or third-party actions. Our total liability to you for any claims arising from these Terms shall in no event exceed the amount actually paid by you for the specific service during the period in which the claim arose.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MoeDove LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our services or assigned resources; (b) your violation of these Terms or any applicable law; (c) your violation of RIR policies; (d) any misrepresentation made by you; or (e) your infringement of any third-party rights.

12. DISPUTE RESOLUTION

In the event of any dispute arising from these Terms:

  • Informal Resolution: We encourage you to contact us first to attempt to resolve the dispute informally.
  • Arbitration: If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in English, with the arbitration taking place in the United States.
  • Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.
  • Exceptions: Either party may seek injunctive relief in court to prevent irreparable harm or to enforce intellectual property rights.

13. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue use of our services.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
